- » Acted as local counsel to a facilities management company in relation to a ZAR950,000,000 term loan.
- » Acted as counsel to the International Finance Corporation in the demutualisation of Botswana Building Society.
» Acted as local counsel to the Botswana Obligor in an amortising facility in the maximum principal amount of ZAR700,000,000 and a revolving credit facility in the maximum principal amount of ZAR800,000,000.
Securities
- » Acted as counsel to the International Finance Corporation in the disposal of its shares in ABC Holdings Ltd, a company listed (at the time) on the Botswana Stock Exchange. The transaction formed part of a series of transactions by Atlas Mara Convest Ltd.
- » Acted as counsel in the approval of a listing of a ZAR 15,000,000,000 domestic medium term note and preference share programme on the Botswana Stock Exchange.
- » Acted as counsel to Imara Holdings Limited in a share buy back effected on the Botswana Stock Exchange.
Due Diligence
- » Conducting a due diligence of a petroleum company, advising the seller in respect of all aspects of their downstream and mid-stream business in Botswana extending to aspects of environmental compliance, licensing, legal and corporate matters.
- » Advising Botswana Development Corporation in respect of the proposed second tier capital financing for a regional bank.
- » Conducting a due diligence over a borrower in relation to a proposed equity investment by Botswana Development Corporation
» Conducting a due diligence of mining and prospecting licences and obtaining letters of good standing from the Department of Mines and Minerals.
Mergers and Acquisitions
- » Acted as counsel to Trau Bros NV in its acquisition of 51% of the issued shares in Lazare Kaplan Botswana (Pty) Ltd.
- » Acted as local counsel to a luxury travel company in its disposal of 90.5% of issued share capital of its parent company.
- » Acted as counsel to Build Ezee (Pty) Ltd and the shareholders in their disposal of 100% of their shares to a subsidiary of Saint Gobain.
